Cairn Energy CEO Bill Gammell wants to meet GoM on company's dispute with ONGC over royalty

NEW DELHI: British firm Cairn Energy chief executive Bill Gammell has sought audience of the ministerial panel examining controversial $9.6-billion Cairn-Vedanta deal to present his point of view in the company's dispute with ONGC over royalty.

As per a 15-year oil contract, ONGC pays Cairn's share of royalty, but it cites a clause in the same contract to say that the cost of royalty can be recovered from the total revenue of the field before profit is calculated.

Gammell said, in Cairn's opinion, the terms of the Rajasthan block contract were clear that ONGC's liability for royalty as licensee was not cost recoverable.

The letter is addressed to the panel's chairman Pranab Mukherjee and two members - oil minister Jaipal Reddy and law minister Veerappa Moily. IT minister Kapil Sibal and Planning Commission deputy chairman Montek Singh Ahluwalia are two other members of the panel. Officials with direct knowledge of the matter said that the Cairn chief executive's letter would be placed before GoM and it would take a decision regarding giving an audience to Gammell.

The first meeting of the panel was scheduled for May 2 but it was postponed due to pre-occupation of its chairman. The next meeting is expected soon. A GoM member said the ministers would take a view on the issue only after they meet. "I think, all involved parties have already presented their views. We have to decide whether to give conditional approval to the deal or approve it with the option to take legal recourse for ONGC's claim" said the member who did not wish to be named.

Oil minister S Jaipal Reddy had already said that the ministry had supported ONGC's claim on the royalty issue. Cairn is, however, opposing ONGC's claim of treating royalty cost recoverable as this would cost it about Rs 6,272 crore ($1.4 billion) and affect the valuation of the deal.

Treating royalty as cost recoverable would also reduce the government's profit-share in the block by Rs 5,032 crore and ONGC's profit-share by Rs 2,688 crore. The royalty payment for the life of the field is estimated at around Rs 18,000 crore by technical experts in the directorate general of hydrocarbon (DGH) taking approved output for 20 years, average crude oil price at $70 a barrel and an exchange rate of Rs 45 for a dollar.

The GoM would also consider another contentious issue regarding cess payment, which Cairn has protested and initiated arbitration. Cairn's cess obligation is estimated at Rs 9,202 crore for its 70% share, which it is paying under protest. The conditional government-approval to the deal, as proposed by the Union oil ministry, asks Cairn to withdraw the arbitration proceeding.

The GoM was formed to assist the cabinet committee on economic affairs that could not decide the fate of the deal in its first meeting on April 6. "GoM will broadly look into matters related to both royalty and cess. My own ministry took a categorical position that royalty should be treated as a cost-recoverable item," Reddy had said after the Cabinet meeting.
