Govt clause to clear deal not acceptable: Cairn

Cairn India today said the government’s stand to put conditions to the Cairn-Vedanta deal, including Oil and Natural Gas Corp’s (ONGC) royalty issue, will negatively impact the valuation and was not acceptable.

“The Cairn India board of directors has said any condition tied to the approval of the transaction which can negatively impact the value of the company cannot be accepted,” the company said in a statement today.



After a meeting with Cairn Energy Chief Executive Bill Gammell on Tuesday, Petroleum Minister Jaipal Reddy had told reporters the “government would support the deal in-principle, but some of the concerns of ONGC need to be addressed before clearing the deal”.

ONGC insists that issues related to royalty and cess payment from Cairn’s Rajasthan block is ‘cost recoverable’ and must be sorted before the deal was cleared.

Last month, an ONGC board resolution had urged the ministry not to clear the Vedanta deal till Cairn resolved the royalty issue. ONGC will end up paying Rs 14,000 crore as royalty for the life of the Rajasthan block.

According to licence conditions for the Rajasthan block, ONGC has the right to take 30 per cent in any discovery free of cost but the state-run firm has to pay not only its share of royalty but also the 70 per cent share of the operator. Royalty of 20 per cent has to be paid to the Rajasthan government on the price the crude may fetch.

Cairn India profit rises seven fold
Riding on increased oil production from its Rajasthan fields, Cairn India today reported nearly a seven-fold rise in consolidated net profit to Rs 2,010 crore for the quarter ended December 2010. The company had reported a consolidated net profit of Rs 291 crore in the same period last year. Income from operations also jumped to Rs 3,096 crore from Rs 495 crore a year ago.

Cairn began crude oil production from its Barmer oilfields in Rajasthan in August 2009. It is currently producing at an approved plateau of 125,000 barrels per day of crude oil from the Mangala oilfield, the largest among 24 oil and gas finds it has made in the Barmer district in Rajasthan. This was the first full quarter of plateau production from Barmer.

A further increase hinges upon regulatory approvals. “Mangala production has consistently delivered at the currently approved plateau rate of 125,000 barrels per day. A further production increase to 150,000 bpd remains subject to joint venture and Government of India approval,” said Rahul Dhir, managing director and chief executive officer.

Cairn India Ltd on Thursday said it will not accept any conditions for the $9.6 billion Cairn-Vedanta deal that will impact the company's value. "The Cairn India board of directors has stated that any condition tied to the approval of the transaction which can negatively impact the value of the
company, cannot be accepted," Cairn India said after its board met here on Thursday.

The government has attached 11 pre-conditions for clearing the Cairn-Vedanta deal. The major ones relating to royalty-sharing and withdrawal of arbitration cases against ONGC have already been turned down by Cairn India's new promoter, Vedanta Resources.

This is the first time that Cairn India itself has given a statement on the government pre-conditions.

UK energy major Cairn Energy had in August 2010 agreed to sell majority of its 60% per cent shareholding in Cairn India to Vedanta.

ONGC insiste sur le fait que les questions liées aux redevances et aux paiements accès à partir du bloc Rajasthan Cairn est «recouvrement des coûts et doivent être triés avant que la transaction a été autorisée.

Le mois dernier, une résolution du conseil ONGC a exhorté le ministère à ne pas effacer la face Vedanta jusqu'à Cairn résolu la question de la redevance. ONGC finiront par payer Rs 14,000 crore à titre de redevance pour la durée de vie du bloc Rajasthan.

Selon les conditions de licence pour le bloc Rajasthan, ONGC a le droit de prendre 30 pour cent en cas de découverte libre de coût, mais l'entreprise gérées par l'Etat doit payer non seulement sa part de la royauté, mais aussi de la part de 70 p. cent de l'opérateur. Surfant sur la production de pétrole est passé de ses champs au Rajasthan, Cairn India a annoncé aujourd'hui une hausse de près de sept fois dans le résultat net consolidé à Rs 2,010 crore pour le trimestre terminé Décembre 2010. Cairn a commencé la production de pétrole brut dans ses gisements de pétrole dans le Rajasthan Barmer en août 2009. Il produit actuellement à un plateau approuvé de 125.000 barils par jour de pétrole brut du champ pétrolifère Mangala, le plus important parmi les 24 découvertes de gaz de pétrole et qu'elle a pris dans le district de Barmer, au Rajasthan. Ce fut le premier trimestre complet de la production plateau de Barmer.

Une nouvelle augmentation de charnières sur les approbations réglementaires. "Production Mangala a toujours livré au rythme plateau actuellement approuvé de 125.000 barils par jour. Une augmentation de la production à la suite de 150.000 bpj reste soumise à l'entreprise commune et de gouvernement de l'Inde d'approbation », a déclaré Rahul Dhir, directeur général et chef de la direction.

Le gouvernement a fixé 11 conditions préalables à l'accord de compensation Cairn-Vedanta. Les principales relatives à la royauté de partage et de retrait des dossiers d'arbitrage contre ONGC ont déjà été rejetée par le promoteur de nouveaux Cairn Inde, Vedanta Resources.

C'est la première fois que Cairn Inde elle-même a donné une déclaration sur le gouvernement de pré-conditions.

Royaume-Uni majeur de l'énergie Cairn Energy avait en août 2010 a accepté de vendre la majorité de ses 60% par l'actionnariat cent en Inde Cairn à Vedanta.
