ZCCM INVESTMENTS HOLDINGS PLC ANNOUNCEMENT

REGARDING ITS INVESTMENT IN EQUINOX MINERALS LIMITED

Further to the Cautionary Announcement issued on 6 May 2011, ZCCM-IH now advises its Shareholders as follows:

Equinox Minerals Limited ("Equinox") is an international mining company that is dual listed in Canada and Australia on the Toronto Stock Exchange and the Australian Securities Exchange. Equinox has 100% interest in Lumwana Mining Company (LMC) located in Zambia and 100% interest in the Jabal Sayid copper-gold project in the Kingdom of Saudi Arabia.

Barrick Gold Corporation (Barrick), a Canadian company, and the leading gold mining company in the world in terms of production, reserves and market capitalisation, recently made an offer (the "Offer") through its wholly owned subsidiary, Barrick Canada Inc., to purchase all of the issued and outstanding common shares of Equinox by way of negotiated take-over bid at a cash price of Cdn$8.15 per share. The Equinox Board, after consultation with its financial and legal advisors and on receipt of a recommendation of its special committee, has unanimously determined that the Offer is in the best interests of Equinox and the Shareholders and, accordingly, the Equinox Board has agreed to unanimously recommend that Shareholders accept the offer and deposit their Shares under the Offer.

This development has been of significant interest to ZCCM Investments Holdings Plc (ZCCM-IH) as the Company owns 2.28% shareholding in Equinox (as at 21 March 2011). This means that ZCCM-IH has an indirect interest of 2.28% in LMC and 2.28% in Jabal Sayid.

Given that ZCCM-IH's interest in Equinox is registered on the Toronto Stock Exchange, the transaction involving Barrick is being conducted according to the rules and regulations of Canada.

After due consideration and consultation, the Board of ZCCM-IH has accepted the offer which will result in a cash realisation in excess of US$160 million. The initial investment for ZCCM-IH cost US$30 million in 2006 and therefore the potential return on investment is in excess of 400% during the period 2006 to 2011.

If within 120 days after the date of the Offer (or such longer period as a court may permit), the Offer has been accepted by holders of not less than 90% of the outstanding Shares as at the Expiry Time, excluding Shares held at the date of the Offer by or on behalf of the Offeror or an "affiliate" or an "associate" of the Offeror, the Offeror shall, to the extent possible, acquire the remainder of the Shares from those Shareholders who have not accepted the Offer on the same terms as the shares acquired under the Offer pursuant to the provisions of Section 206 of the Canadian Business Corporations Act. This will in effect be a Compulsory Acquisition.

The offer by Barrick to all shareholders of Equinox represents an opportunity for ZCCM-IH to realise value from its investment. Upon receipt of the funds from Barrick, ZCCM-IH will ensure that the funds are prudently managed while exploring all investment avenues within and outside of Zambia. It must be noted that as a listed investment company on the Lusaka Stock Exchange, ZCCM-IH seeks to enhance value for its shareholders. The Board and Management of ZCCM-IH will therefore ensure that the principle of realising value for the shareholders is maintained in their daily operations.

Accordingly shareholders are advised to exercise caution when dealing in the company's securities until a full announcement is made.

EQUINOX MINERALS Limited ("EQUINOX ") est une société minière internationale qui est cotée au Canada sur la bourse de Toronto et en Australie sur l'Australian Securities Exchange. EQUINOX possède 100 % des actions de Lumwana Mining Company (CAT) situé en Zambie et 100 % dans le projet de cuivre-or Sayid Jabal dans le Royaume d'Arabie saoudite.

Barrick Gold Corporation (Barrick), une entreprise canadienne, leader de l'extraction de l'or dans le monde en termes de production, les réserves et capitalisation, a récemment fait une offre ("l’offre") par l'intermédiaire de sa filiale en propriété exclusive, Barrick Canada Inc., d'acheter toutes les actions ordinaires émises et en circulation d’EQUINOX au comptant à un prix de CAD 8,15 $ par action du marché. Le Conseil d'administration d’EQUINOX, après consultation de ses conseillers juridiques et financiers et sur la recommandation du Comité spéciale, a unanimement jugé que l'offre est dans l'intérêt supérieur d’EQUINOX et de ses actionnaires et, en conséquence, le Conseil d'administration d’EQUINOX a accepté à l'unanimité de recommander aux actionnaires d'accepter l'offre et d’apporter leurs titres dans le cadre de l'offre.
Cette proposition présente un intérêt significatif pour ZCCM Investments Holdings Plc (ZCCM-IH) dans la mesure où la société possède une participation de 2,28% dans EQUINOX (au 21 Mars 2011). Cela signifie que ZCCM-IH a une participation indirecte de 2,28% dans LMC et de 2,28% dans Jabal Sayid.

Étant donné que les actions EQUINOX possédées par ZCCM-IH sont cotées à la bourse de Toronto, la transaction impliquant Barrick se déroule selon les règles et les règlements du Canada.
Après mûre réflexion et consultation, le Conseil d'administration de ZCCM-IH a accepté l'offre qui se traduira par une rentrée en numéraire de plus de 160 millions $ US. L'investissement initial de ZCCM-IH a été de 30 millions de dollars en 2006 et donc le retour sur investissement potentiel est de plus de 400% sur la période de 2006 à 2011.

Si dans les 120 jours suivant la date de l'offre (ou un délai plus long si décision de justice), l'offre a été acceptée par les détenteurs d'au moins 90 % des actions en circulation au moment de l'expiration, à l'exclusion des actions détenues à la date de l'offre par ou au nom de l'offrant ou une « filiale » ou un « associé » de l'offrant, le proposant doit, dans la mesure du possible, acquérir le reste des actions d'actionnaires qui n'ont pas accepté l'offre dans les mêmes conditions que les actions acquises dans le cadre de l'offre conformément aux dispositions de l'article 206 de la Loi Canadienne pour les entreprises. Cela deviendrait alors une Acquisition obligatoire.

L'offre de Barrick à tous les actionnaires d’EQUINOX représente pour ZCCM-IH une opportunité de réaliser une plus-value en cédant sa participation. À la réception des fonds de Barrick, ZCCM-IH fera en sorte que les fonds soient gérés avec prudence tout en explorant toutes les possibilités d'investissement en Zambie et en dehors de Zambie. Il faut noter qu’en tant que société d'investissement cotée à la bourse de Lusaka, ZCCM-IH cherche à faire progresser la valeur de la société pour ses actionnaires. Le Conseil d'administration et l’équipe de direction de ZCCM-IH vont faire en sorte que le principe de réalisation de valeur pour les actionnaires soit gardé à l’esprit dans leurs opérations quotidiennes.

En conséquence les actionnaires sont priés de faire preuve de prudence dans le négoce de leurs titres de la société jusqu'à ce qu'une annonce complète soit faite.
