Barrick receives unconditional Zambian regulatory approval for Equinox deal

TORONTO - Barrick Gold Corp. (TSX:ABX) said Tuesday it has received the unconditional approval of the Zambian regulator for its purchase of Equinox Minerals Ltd. (TSX:EQN).

Equinox's flagship asset is the Lumwana copper mine in Zambia, one of the largest new copper mines to be developed globally over the last few years.

Barrick, the world's biggest miner, had received conditional approval from the Zambian Competition and Consumer Protection Commission for the deal last week.

Barrick has offered $7.3 billion or $8.15 per share for Equinox in a friendly deal. The purchase will double Barrick's annual copper production.

Currently, Barrick makes 90 per cent of its money from gold, and 10 per cent from copper. The Equinox acquisition would increase the copper contribution to 18 per cent.

Equinox has its corporate offices in Toronto and Perth, Australia.

In a separate release, Equinox noted that its board has unanimously recommended that the company's shareholders accept the Barrick bid and tender their shares to the Toronto-based gold giant.

vous aurez remarqué la modification, par rapport à ce qui était annoncé jusque là, qui semble minime mais au combien importante pour nous

C'est accord SANS condition est très important et peu nous permettre d'espérer le meilleur après avoir craint le pire.

Comme le signalait Bingogo, le cours de l'action a subitement retrouvé un cours normal en fin de journée, avec la diffusion de l'information de l'accord inconditionnel.

D'après cet accord inconditionnel, il semble que ZCCM-IH retrouve la possibilité de vendre ses parts s'ils le désirent. L'avenir nous apportera la réponse définitive.

TORONTO (Reuters) - Barrick Gold said on Tuesday it has won unconditional approval from Zambian authorities for its proposed acquisition of base metal miner Equinox Minerals, removing any lingering doubts about the success of the C$7.3 billion ($7.5 billion) deal.

Shares of Equinox had begun to trade well below Barrick's C$8.15 a share offer price, after Zambian authorities initially granted only conditional approval to the deal.

Zambia has now removed a key stumbling block that required state miner Zambia Consolidated Copper Mines Investment Holdings to keep a 2.2 percent stake in Equinox, as a condition of the approval for the deal.

Barrick said its takeover offer is open for acceptance until June 1.

The acquisition of Australia's Equinox Minerals Ltd by Canada's Barrick Gold has cleared a hurdle with authorities in Zambia, where its major copper projects are located.

It was reported this week that the Zambian Competition and Consumer Protection Commission (CCPC) had insisted that a state-owned Zambian firm be allowed to retain its 2.2 per cent stake in the company.

However, Equinox Minerals said in a statement on Wednesday that Canada's Barrick, the world's biggest gold miner, had received the unconditional approval of the CCPC.

Equinox shares had shot up 17 cents, or 2.21 per cent, to $7.85 in opening trade on the news.

In late April, Barrick Gold trumped the Chinese-state controlled Minmetals Resources Ltd with a $C7.3 billion ($7.06 billion) bid for Equinox, which is focused on the copper belt of northern Zambia.

The friendly takeover bid would involve Barrick purchasing all outstanding common shares of Equinox at a price of $C8.15 per share in cash.

The Equinox board recommended that shareholders accept the offer, having described Minmetals Resources Ltd's $6.3 billion hostile bid as opportunistic and low ball.
