Re: Update: ZCCM-IH - the sale of Ministry of Finance (MOF) 17.25% stake

As we have briefed you about a month ago, Sapir Capital, an Israeli investment company, is interested to acquire the MOF shares in ZCCM-IH, and was about to conclude the transaction shortly, pending completion and final approval of the MOF.
We were since then advised that the MOF have successfully concluded their Due Diligence on Sapir Capital and its shareholders.

As we all know, ZCCM-IH is a real jewel in the crown and its potential to bring wealth and growth to Zambia is huge. But however huge the potential is, despite receiving a lot of promises for many years, nothing has happened and this company performance is rather poor both in terms of share value and dividends, albeit the hard work of Dr. Kasolo and his team.

Sapir Capital is a foreign investor, who sees the same potential as we all see and is willing to work together with all other shareholders to turn this unrealized potential into a reality. Sapir Capital is an international investment company specializing in unlocking and creating value in underperforming assets. It is their core expertise.

In light of the fact that it is ready to pay the LuSE price, which is substantially higher than the Euronext price, in our view, should have made the MOF conclude the transaction already.

As some of you may know, I have had a chance to meet with the Managing Director of Sapir Capital, Mr. Halpert and I am convinced he is the right investor to help ZCCM-IH become one of the leading companies in Sub Saharan Africa.

We were advised that ZCCM-IH management, Dr. Pius Kasolo and his team are fully on board with this transaction.

The minority shareholders are fully supportive of this transaction. We believe that Sapir Capital is the right investor at the right time for ZCCM-IH and Zambia.

Therefore, we urge the MOF to conclude this transaction immediately as a matter of urgency, lest this promising opportunity is lost to all shareholders and the country as a whole.

Mise à jour relative à la vente de la participation (17,25%) du ministère des Finances (MOF) dans ZCCM-IH

Comme nous vous en avons informé il y a environ un mois, Sapir Capital, une société d'investissement israélienne, est intéressée à acquérir les parts du MOF dans ZCCM-IH et était sur le point de conclure la transaction, attendant la finalisation du deal et l'approbation finale du MOF.

On nous a dit depuis que le MOF a conclu avec succès son enquête sur Sapir Capital et ses actionnaires.

Comme nous le savons tous, ZCCM-IH est un véritable joyau de la couronne et son potentiel à créer de la richesse et de la croissance en Zambie est énorme. Mais, si énorme soit le potentiel, malgré de nombreuses promesses depuis de nombreuses années, rien ne s'est produit et la performance de cette entreprise est plutôt médiocre à la fois en termes de valeur de l'action et en termes de dividendes, même si le Dr Kasolo et son équipe ont travaillé fort.

Sapir Capital est un investisseur étranger, qui voit le même potentiel que nous voyons tous et qui est prêt à collaborer avec tous les autres actionnaires pour transformer ce potentiel latent en réalité. Sapir Capital est une société d'investissement internationale spécialisée dans le déverrouillage et la création de valeur dans des actifs sous-performants. C'est leur expertise principale.

Compte tenu du fait qu'il est prêt à payer le prix du LuSE, qui est sensiblement supérieur au prix d'Euronext, à notre avis cela aurait dû faire en sorte que le MOF ait déjà conclu la transaction.

Comme certains d'entre vous le savent, j'ai eu l'occasion de rencontrer le directeur général de Sapir Capital, M. Halpert et je suis convaincu qu'il est l'investisseur idéal pour aider ZCCM-IH à devenir l'une des entreprises leaders en Afrique subsaharienne.

Nous avons été informés que la direction de ZCCM-IH, le Dr Pius Kasolo et son équipe sont totalement favorable à cette transaction.

Les actionnaires minoritaires appuient pleinement cette transaction. Nous croyons que Sapir Capital est le bon investisseur au bon moment tant pour ZCCM-IH que pour la Zambie.

Par conséquent, nous exhortons le MOF à conclure cette transaction immédiatement d'urgence, de sorte que cette opportunité prometteuse ne soit pas perdue pour tous les actionnaires et le pays dans son ensemble.
